OFFICIAL RULES

NO PURCHASE OR PAYMENT OF ANY KIND NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. Void where prohibited or restricted by law. These Official Rules shall serve to govern the Promotion, including each Model Search Casting Call Contest and all elements thereof. Sponsor reserves the right to modify these Official Rules at any time by posting revised Rules at www.tailopez.com (the "Website"). If you do not agree with these Rules, do not participate.

ELIGIBILITY: The Promotion is offered in the state of California and is open only to females who physically reside within the U.S. between the age of 19 - 26, who have agreed to be bound to the Entry Documents, including these Official Rules, are under no conflicting employment, contractual or legal restriction to enter, are not a signed model, model under-contract or have any other obligations to any person, agency or other entity in a modelling or similar capacity, and have not been convicted of a crime. THIS PROMOTION IS VOID TO RESIDENTS OF U.S. EMBARGOED COUNTRIES AND WHEREVER RESTRICTED BY, WITHOUT LIMITATION, FILING OR REGISTRATION REQUIREMENTS, OR OTHERWISE PROHIBITED OR RESTRICTED BY LAW.

Employees, officers and directors of MAS Group LLC (“Sponsor”), Tai Lopez, judges, film and camera crew, and those individuals and entities involved in the preparation of materials for, administration and/or execution of this Promotion (all collectively the “Promotion Entities”) and the immediate family members (defined as parents, children, siblings and spouse, including step and foster relations) regardless of where they reside, and/or individuals living in the same household (whether or not related) of any of the Promotion Entities are not eligible to participate in the Promotion.

SPONSOR:The Promotion is sponsored by MAS Group, LLC, 8581 Santa Monica Blvd., Suite 703, West Hollywood, CA 90069.

This Contest is in no way sponsored, endorsed, administered by or associated with SnapChat or any other social media platform used to facilitate any aspect of the Promotion.

NO EMPLOYEE/EMPLOYER SITUATION: Participation in the Promotion and any element thereof is at the sole election of Participant without coercion and is on a purely unpaid, voluntary basis. If you do not agree, do not participate in this Promotion. Further, Participants and winners agree that by participating in the Promotion and/or receiving a prize does NOT give rise to or in any way create, either express or implied, any employer/employee, joint or co-venture, principle/agent, contractor, or any other employment, fiduciary, or other relationship, between them and Sponsor and any one or more of the Promotion Entities, or any other person or entity. The Promotion Entities disclaim all responsibility and liability relating to all of the above; by entering Participants agree to release, indemnify, defend and hold them harmless in all respects thereto.

BINDING AGREEMENT: By participating, you agree to be bound by Release Documents provided at time of application and scheduling, anticipated to consist of a Publicity Consent & Release and Liability Release and these Official Rules (available on the Website) (collectively the “Entry Documents”), all Promotion related communications (in any form or media) from the Sponsor including its authorized representatives, and the decisions of the Sponsor and Judges which are final and binding in all respects. Please read the Entry Documents prior to entry. At the time of scheduling on the Website, Participants must agree to the Entry Documents by clicking the “I understand and agree” box on the Website. Once the Participant clicks the “I understand and agree” box, the Entry Documents form binding legal agreements between each Participant and Sponsor with respect to the Promotion, any element thereof and all participation therein. Participants are not eligible to participate or receive a Prize described in these Rules unless they agree to be bound to the Entry Documents. By entering, to the fullest extent permitted by law, Participant accepts the Entry Documents on his/her own behalf and on behalf of his/her successors, assignees, subrogors, heirs, next of kin, legal and personal representatives, and anyone who obtains any rights by, from or through Participant (“interested parties”). By participating, Participants agree to be contacted by Sponsor with notices and reminders pertaining to the Promotion. The information you provide will be used as stated herein, and for purpose of this Promotion, and in accordance with Sponsor’s privacy policy. It is Participant’s responsibility to ensure Sponsor has the Participant’s current and correct information at all times.

IMPORTANT NOTICE: Participants have the responsibility to review and understand their employer's policies, laws, rules and/or regulations, tax implications, and any other limitations (collectively "policies") regarding eligibility to participate in promotions and/or receive prizes in connection therewith. Furthermore, if a participant enters without obtaining the appropriate approvals, or if an individual is participating in violation of any such policies, Sponsor may, in its sole discretion, disqualify the participant and forfeit their prize, if applicable.

PROMOTION PERIOD:The Promotion begins on or about 12:01 A.M. U.S. Pacific Time ("PT") on or about May 11, 2016 and ends on or about 11:59 P.M. PT on or about June 10, 2016, unless sooner terminated or extended as provided herein ("Promotion Period"). The Promotion consists of Day Casting Calls, Week Casting Calls, and overall Monthly Contest(s), as provided herein. Sponsor reserves the right to terminate, cancel, extend or modify the Promotion or any element thereof by a posting on the Website. Participation must occur during the Promotion Period in accordance with the procedure and approved channels stated herein, or will not be eligible. All times relating to the Promotion are Pacific Time unless otherwise stated. Sponsor (or its authorized representative’s) server for the Promotion is located in the U.S. and shall be the official time keeping device for the Promotion. PARTICIPANTS ARE RESPONSIBLE FOR DETERMINING THE CORRESPONDING TIME ZONE IN THEIR RESPECTIVE JURISDICTIONS.

REGISTRATION AND PARTICIPATION: During the Promotion Period, and in order to participate in this Promotion, each eligible Participant must fill out an application on the Website, agree to the Entry Documents, and schedule an appearance at an offered and available Casting Call ("Registration"). Individuals whose Registration is in whole or in part invalid, non-compliant or incomplete will not be eligible. Registration is not proof or evidence that a Participant is eligible for the Promotion.

There is no purchase necessary for Registration or to participate in this Promotion or any element thereof. Travel to/from the Location and active participation for an entire day, multiple times, will be required for participation in the Promotion, and is Participant’s sole responsibility and liability, cost and expense. Specific details, requirements, and instructions are communicated on the Website.

In addition to any additional terms agreed to in any other Entry Document, Participants hereby represent, warrant and covenant and agree to produce written evidence of such if requested (as applicable), that participation and their behavior (as applicable) at all times, in whole and in part:

1. Does not and will not contravene, be in violation of, nor infringe in any respect any local, state or Federal laws, rules, or regulations (“laws”), industry standards/codes, or any contractual, intellectual, professional, personal or property rights, or any other laws or rights whatsoever of any government, person and/or entity;
2. Does not and will not give rise to any alleged or actual claims, disputes, actions, damages, or liabilities against any of the Promotion Entities, other Participants, or any other government, person and/or entity;
3. Does not and will not involve behavior that is not in the spirit of the Promotion, or that may give rise to personal injury (to themselves or others) or property damage/loss, or that is/appears tortious, obscene, menacing, explicit, defamatory, offensive, violent, discriminatory, cruel, abusive, distasteful, highly sensitive, harmful, unsafe, dangerous, illegal, or that otherwise offends against reasonable standards of taste and decency; and
4. Does not and will not involve alcohol, gambling, drug-use, weapons, or unsafe behavior of any kind at the Location.

The above are provided without limitation, and Sponsor reserves the absolute right to reject, eject, or disqualify any Participant at any time for any other reason, similar or dissimilar. If any of the afore-going are discovered and/or suspected in Sponsor’s sole discretion, Participant may be immediately disqualified and asked to leave the Location. By participating, Participants agree the Promotion Entities are not responsible for, and Participant shall indemnify, defend, release and hold them harmless for/from any alleged or actual claims, disputes, actions, damages, or liabilities (including reasonable attorney fees) of whatever kind or nature arising or relating in any respect to any of the above, in whole or in part.

Day Casting Calls: Participant’s must appear at the designated location in the Los Angeles, CA area ("Location"), at the designated time/day, wearing the requested attire/makeup and bringing any additional requested items for their scheduled Day’s Casting Call. It is anticipated Day Casting Calls may be held at least once per calendar week, up to once every day of any business week during the Promotion Period, but frequency may vary in Sponsor’s sole and absolute discretion. Each Day Casting Call is anticipated to last the full day (approx. 8 hours or more). During the Day Casting Call, each Participant will be individually photographed by Sponsor’s photographer and digital stills will be taken (a headshot, profile and/or full-body) ("Stills"). In addition, Participants will be photographed/filmed participating in various activities, posing in various situations, with Sponsor, with provided props, with Sponsor’s representatives, other Participant’s and/or individually through-out the Day’s Casting Call ("Filmed Activities"). Participants may participate in a Day Casting Call once during the Promotion Period.

Public Vote: On or within about approx. five (5) working days following each Day’s Casting Call, Sponsor will post one or more Stills from each Participant at the applicable Day’s Casting Call on an applicable SnapChat Story ("SnapChat" or "social media platform") (each is Participant’s "entry"). At any stage in the Promotion, Sponsor reserves the absolute right in its sole discretion to post additional Filmed Activities about any Participant to the social media platform. In such event they may or may not be intended for judging or included in an entry. It will be clear that such Filmed Activities are also made part of the entry and to be judged in accordance with the voting procedure established herein for the applicable Casting Call if applicable (collectively the "entry").

Voting will be accepted during the Day Casting Call’s applicable SnapChat Story (anticipated to be 24 hours) ("voting period"). Tai Lopez viewers/voters will be asked to take a SnapChat screen shot of one (1) Participant who they think best represents healthy, fit beauty ("vote"). Participants may vote for themselves once only. Voters may vote one time using one (1) SnapChat account only. Limit one (1) vote per person, per applicable Day Casting Call. Votes will be tallied and the Participant with the most number of eligible votes will be determined the applicable Day Casting Call winner, subject to confirmation of eligibility, compliance and verification ("Day Casting Call winner"). In the event of a tie, tie will be broken amongst all tied Participants, by Sponsor who will determine the winning Participant who they think best represents healthful, fit beauty ("tie breaker"). Sponsor will notify Day Casting Call potential winners via phone on or about five (5) working days from the end of the Judging Period and they will be required to sign have witnessed and return the Declaration (detailed below) in order to be verified for a Day Casting Call prize and opportunity to continue to the next level of Casting Call. It is anticipated that one (1) Day Casting Call winner will be selected, per Day’s Casting Call.

Under certain circumstances Sponsor reserves the absolute right to select more winners and award more prizes at any level in the Promotion, or select no winners due to lack of participation, event cancellation, or disqualification for example. The scores received in this Promotion at any level will not be made public.

If you don’t have a social media account, you can become a member without charge by simply following the social media member instructions and accepting the terms and conditions of use. By entering, Participants understand and agree that submitted eligible entries may be subject to public viewing, streaming (i.e. "digital transmission"), downloading (i.e. "digital distribution"), and public voting and comments, including but not limited to being saved, forwarded, re-grammed, re-tweeted, and otherwise posted throughout Sponsor’s and third parties’ digital and off-line social media, marketing and advertising properties. Entries will be posted via the social media account used to facilitate entry and must be voted upon within the Voting Period. Entries/votes submitted via any other entry method will not be accepted. Voting may only be submitted by a single registered social media account user; group or commercial submissions are not permissible. Multiple voters are not permitted to share the same device, social media account, IP or email address.

Potential winner notifications are not final until verification has taken place regardless of any winner notification via any social media platform. Ineligibility, noncompliance, refusal or failure to comply with winner verification requirements will disqualify Participant and they will be ineligible to receive a prize. Any actual or suspected use, directly or indirectly, of artifice, fraud, cheating, phishing, or spamming, or the use of any unauthorized method or automated system to acquire or place votes, entries or followers is prohibited and, if discovered will void the applicable votes and will disqualify the voter, entry and/or Participant (as applicable) in Sponsor’s sole and absolute discretion. Entries, "follows" or votes suspected of being generated by script, macro, bot, commercial sweepstakes or contest subscriptions (in any and all media) and related sites, vote exchange/swapping and similar sites (where votes exchange/swap is purchased, or required), incentives or sweepstakes not sponsored by Sponsor, voting software, entering service sites or any other automated means, and votes by any artifice or means that subvert the entry and/or voting process or do not conform with the spirit of these Official Rules will void the applicable entry and/or votes and will disqualify the voter, entry and/or Participant (as applicable) in Sponsor’s sole and absolute discretion.

Monthly Casting Call Finalist Selection/Judging Criteria: Once verified, Weekly Casting Call winners only may elect to participate in the Monthly Casting Call portion of the Promotion by scheduling and appearing at the Location, at the designated time/day, wearing the requested attire/makeup and bringing any additional requested items for the scheduled Monthly Casting Call. It is anticipated Monthly Casting Calls may be held approximately three times during the Promotion Period, but frequency may vary in Sponsor’s sole and absolute discretion. Monthly Casting Call Participants must then undergo the same participation at the Location, selection and judging process and subject to the same obligations and limitations as stated hereinabove for the Day Casting Call; however, in addition, Monthly Casting Call Participants will be judged in accordance with the below:

A judging panel selected by Sponsor will then apply the following judging criteria to the Monthly Casting Call Participants: Photogenic and Healthy/Fit Appearance (25%) and Broad Appeal (25%); and Votes Received (50%) (“judging criteria”). It is anticipated that one (1) winner and will be selected in accordance with the judging criteria, per Month’s Casting Call.

GENERAL ENTRY CONDITIONS: Participation and all information provided in this Promotion by or on behalf of Participants (regardless of whether it is part of the entry or not) will not be received or held "in confidence" or "in trust." Participation does not create a confidential relationship or obligation of secrecy between Participant and any of the Promotion Entities. Once submitted to the applicable social media platform an entry may not be cancelled or deleted, and will not be returned. The entry as a whole will be considered and judged, viewed and used by the viewing public and by the Promotion Entities in whole or in part, as provided herein and by others interested in, involved with, or administering the Promotion. Participants assume all risk of ineligible, incomplete, damaged, lost, late, invalid, incorrect, incompatible, non-functioning, or misdirected entries, in whole or in part. Proof that an entry is uploaded does not constitute proof or evidence that it eligible for the Promotion.

Without limitation, Sponsor reserves the right to immediately disqualify and/or remove at any time (before, during or after the Promotion) any entry and/or Participant for any reason in its absolute discretion. Without limiting the foregoing, if at any time a Participant and/or winner is found to have breached, violated or failed to comply with these Rules (or any subsequent agreement), in whole or in part, at any time, or is or found at any time to have been ineligible, they will be immediately disqualified and agree to immediate return in full any and all prizes to Sponsor (if applicable).

PRIZES: Prize awards will be awarded assuming sufficient eligible entries are received and are contingent upon verification of potential winners, confirmation of their eligibility to receive a Prize, and compliance with the Entry Documents including these Rules.

Day Casting Call Prize (1 per Day Casting Call): $1000 USD. Limit one (1) Day Casting Call Prize, per person during the entire Promotion..

Monthly Casting Call: Grand Prize (1 per Monthly Casting Call): $3000 USD a month for 3 months ($9000USD in total), to be used towards payment of rent & car payment/transportation in the Los Angeles area Limit one (1) Monthly Casting Call Prize, per person during the entire Promotion.

Daily cash prizes will be paid in cash and monthly prizes are awarded in the form of a check paid by the 5th of each month for 3 consecutive months. Potential winners will be notified by telephone (in Sponsor’s absolute discretion) using the information provided in their application. Potential winners may be required to sign and return an Affidavit of Eligibility, Release of Liability, and where legal, Publicity Release for receipt by Sponsor within the time/date specified by Sponsor, or else prize will be forfeited in its entirety and an alternate winner will be selected in accordance with the above judging process if applicable. In the event a potential winner cannot be reached using the contact information provided on the entry on or within two (2) separate attempts, the prize will be forfeited and an alternate potential winner may be selected in accordance with the above. Prizes are not assignable or transferable in whole or in part. No prize substitutions allowed, in whole or in part except Sponsor reserves the right to substitute a prize of comparable value. In no event will Promotion Partners be responsible for awarding more than the stated value/number of prizes. Limit one (1) prize in each level, per person.

TAXES: Winners are solely responsible for any local, state, federal or any other applicable taxes, compliance with (governmental) reporting, filing and documentation requirements, and for any other costs, expenses and fees connected with their acceptance and use of the Prize in their respective jurisdictions.Prize will be awarded to and in the name of the individual.

In the event of disqualification for noncompliance, ineligibility, if a potential winner refuses or fails to complete and return release documents as directed on or within the time stated, or for any other reason, Prize will be forfeited in its entirety and prize may be awarded in accordance with the judging and winner selection process applicable to that prize level in Sponsor’s sole discretion. Lost, untimely, ignored, failed, undelivered, returned, unclaimed, or un-awarded prize notifications/prizes will not be (re)awarded. Sponsor shall have the right, where necessary, to undertake all action and/or require further information as is reasonable to protect itself, or any of the other Promotion Entities against fraudulent or invalid claims, potential public scandal, ridicule, or disrepute in awarding a Prize to any Participant.

In the event it is disclosed to Sponsor at any time that a GP winner or any other person engage(s) in or is suspected at any time of unruly, suspect, rude, unsafe, unsportsmanlike, negligent, or otherwise unsuitable behaviour, as determined by Sponsor (or its designee) in their sole discretion, for example behavior that is not in compliance with these Rules, instructions by a lessor or any rental agreement, or any other agreement, ordinance or laws, or that is obnoxious or threatening, dangerous, harmful, illegal or that annoys, abuses, threatens or harasses any other person or animal, or may cause injury to any person or animal, or property damage or loss, Sponsor reserves the unlimited right to immediately disqualify the GP winner, terminate their prize immediately with no further compensation, or opportunity to further participate in prize activities or receive any prize remaining. GP winner is solely responsible in all respects for any rental property/automobile during the prize award period, including but not limited to any and all theft, loss, damage, breakage, destruction, excessive wear/tear to any/either of them and their contents, and any element thereof, by whomever and whatever caused.

GENERAL CONDITIONS: THESE OFFICIAL RULES SHALL GOVERN THE PROMOTION, INCLUDING BUT NOT LIMITED TO ENTRY, PARTICIPATION, ELIGIBILITY TO RECEIVE A PRIZE, AND PARTICIPANTS AND OUR RESPECTIVE OBLIGATIONS WITH RESPECT THERETO. USE OF ANY PROMOTION RELATED WEBSITE, INFORMATION PRACTICES, AND ALL OTHER GENERAL TERMS ARE GOVERNED BY SPONSOR’S TERMS OF USE AND/OR PRIVACY POLICY. IN THE EVENT OF A DISCREPANCY BETWEEN ANY INFORMATION, COMMUNICATION, AND/OR MATERIALS (IN ANY AND ALL MEDIA/MEDIUM) THESE RULES SHALL GOVERN TO ADDRESS ISSUES RELATING TO THE PROMOTION. If any item or provision contained in these Official Rules or any part thereof is declared or becomes unenforceable, invalid or illegal for any reason, all other terms and provisions of these Official Rules shall remain in full force and effect as if these Official Rules had been executed without the offending provision appearing therein.

Non-US Residents Only: For the purposes of this Promotion, Participants’ personal information and entrant information may be stored and processed on servers outside of the European Economic Area. Participants and entrants explicitly consent to the transfer of their data collected in connection with participation in the Promotion to countries outside their country, such as the U.S. Entrants acknowledge that the U.S. may not provide for the same level of data protection as applicable in their own country. However, wherever the Sponsor or its agents process information, they will use their reasonable endeavors to ensure that the information is protected in accordance with strict data protection standards in accordance with the Sponsor’s established privacy policy. Participants have the right to request a copy of the personal information that the Sponsor holds on them and to have any errors in that information corrected.

Without limiting any other right or term herein, a Participant may be disqualified from the Promotion if, in Sponsor’s absolute discretion, it reasonably believes the Participant has, appears to, or has attempted to undermine the legitimate operation of the Promotion by cheating, deception, fraud, artifice, using multiple identities/accounts, engaging in noncompliant activities, or other unfair practices, or has or attempts to annoy, abuse, threaten, harass or intimidate any other Participant, any of the Promotion Entities, or any other person.

PRIVACY AND PUBLICITY: Participants agree that personal data provided may be processed, stored, and otherwise used for the purposes and within the context of the Promotion and as permitted by and in accordance with the Sponsor’s Privacy Policy found at http://www.tailopez.com. This data will be collected and maintained within the United States. Without limiting any terms agreed upon in the Entry Documents, by entering Participants expressly agree and consent to: the transmission, processing, and storage of this personal data in the United States; Sponsor and other Promotion Entities (and their authorized representatives’) use of Participant's name, image, likeness, and voice, hometown, biographical and any other information, entry, and all Stills, Filming Activities, and all results and proceeds of thereof in any and all media now known or hereinafter developed (including but not limited to the Internet/World Wide Web, wireless and digital platforms, Sponsor and other third party social media platforms) for commercial, promotional, marketing and advertising purposes without additional approval or compensation. Participants also understand this data may be used by Sponsor to verify a Participant's identity and eligibility to receive a Prize.

SPONSOR MAKES NO REPRESENTATIONS, WARRANTIES OR GUARANTEES WHATSOEVER (CONTRACTUAL, EXPRESS OR IMPLIED) OF ANY KIND, INCLUDING THAT ANY PARTICIPANT WILL RECEIVE COMMERCIAL EXPOSURE, FUTURE MODELLING CONTRACTS OR ANY OTHER PERSONAL, PROFESSIONAL, COMMERCIAL OR OTHER BENEFIT OF ANY KIND BY VIRTUE OF THEIR PARTICIPATION IN THIS PROMOTION WHETHER OR NOT SELECTED AS A FINALIST OR WINNER.

Construction: The word "Promotion" includes all sub-promotions and all promotional details, information and activities relating thereto and all elements thereof. The word "includes" and its derivatives means "includes, but is not limited to, " and corresponding derivative expressions. The word "or" is disjunctive but not necessarily exclusive. The term “anticipated” is a potential circumstance not capable of representation or guarantee and means "anticipated but not guaranteed," and corresponding derivative expressions.

RELEASE AND INDEMNIFICATION: To the maximum extent permitted by law, Participants and winners agree to release, indemnify, defend and hold harmless ("release") Sponsor and all other Promotion Entities, their parents, affiliates, subsidiaries and divisions, and their respective directors, officers, employees, contractors and agents ("Released Parties") from and against any and all threatened or actual actions, liabilities, claims, demands, losses, settlements, fines, damages, costs and expenses (including reasonable attorney fees) whether or not litigation is commenced ("dispute") arising at any time from participation in the Promotion or any element thereof, the entry (in whole or in part), any Promotion and/or prize-related activity or inability to participate in or parts thereof, the delivery, acceptance, use, mis-use of a prize or any failure with respect thereto, personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light(whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory, any act, default, omission, non-compliance, and/or a violation or breach of any agreement, representation, warranty or covenant made herein, or any other agreements by/with Participant, the Promotion Entities, and/or any other party or entity. Further, to the maximum extent permitted by law, and without limiting the foregoing, Participant and winners agrees to release the Released Parties from and against any and all threatened or actual disputes arising at any time directly or indirectly from any dispute brought by any persons or entities (who may be other than a party to the Rules) arising from or related to any of the above. To the maximum extent permitted by law, and without limiting the foregoing, Participants and winner covenant not to sue any Released Party or cause them to be sued regarding any matter released above; and further covenant not to disaffirm, limit or rescind this release. A waiver by one or more of the Promotion Entities of any term in these Official Rules does not constitute a waiver of any other provision.

LIMITATION OF LIABILITY: IN NO EVENT WILL THE RELEASED PARTIES BE RESPONSIBLE OR LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF THIS PROMOTION, PARTICIPATION IN THE PROMOTION, ANY PROMOTION ACTIVITIES OR ELEMENTS THEREOF, INCLUDING BUT NOT LIMITED TO THE SUBMISSION OF AN ENTRY, PARTICIPANT’S ACCESS TO AND USE OF THE PROMOTIONAL WEBSITES OR THE UPLOADING OF MATERIALS TO THE WEBSITE, AND/OR THE DELIVERY, ACCEPTANCE AND/OR USE/MISUSE OF A PRIZE.

NETWORKS AND CANCELLATION: Promotion Entities are not responsible for typographical error; technical, network, social media platform, computer, digital, telephone, cable, electronic, or hardware or software malfunctions, failures, connectivity issues, or any other problems; incompatibility; unavailable, lost, undelivered, garbled, corrupt, or jumbled transmissions; service provider, Internet, social media platform, web site, blog site, or user (un)accessibility, (un)availability or congestion; unauthorized human intervention or security breach; the unauthorized access to, alteration of entries in whole or in part, the incorrect or inaccurate capture or processing of entries, votes, communications (on any and all channels/platforms), or other information, or the failure to process, collect or communicate any such information; electronic errors, omissions, interruptions, deletions, defects, and/or delays; or loss, theft or destruction of any entry, votes, or other Promotion related communications, materials or information, in whole or in part. If for any reason it is determined in Sponsor’s sole discretion that the Promotion is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, cheating, technical failures, a force majeure event, or any other causes similar or dissimilar which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Promotion or any element thereof, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Promotion. Any attempt by a Participant to deliberately damage any web site or undermine the legitimate operation of the Promotion is a violation of U.S. criminal and civil laws and should such an attempt be made, Sponsor reserves the right to disqualify Participant and seek damages from any such Participant to the fullest extent of the law.

FORUM AND RECOURSE TO JUDICIAL PROCEDURES: These Rules shall be governed by, subject to, and construed in accordance with the laws of the State of Delaware, United States of America, without regard to conflict of law rules. If any provision(s) of these Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect. To the extent permitted by law, the rights to litigate, seek injunctive relief, or make any other recourse to judicial proceedings in case of disputes or claims resulting from or in connection with this Promotion are hereby excluded, and all Participants expressly waive any and all such rights.

ARBITRATION: By entering the Promotion, Participants and/or winners agree that exclusive jurisdiction for any and all disputes of whatsoever kind or nature arising out of or related in any way to the Promotion and/or these Rules, shall be submitted to binding arbitration in the Los Angeles, CA area, before one neutral arbitrator to be mutually agreed upon by both parties. The parties agree to share equally in the arbitration costs incurred.
